1. Agreement to These Terms

These Terms & Conditions (“Terms”) are a legal agreement between you and Fred Williamson LLC (“Fred Williamson LLC,” “we,” “us,” or “our”), the owner and operator of fredwilliamsonllc.com (the “Site”). FW Apparel and FW Est. 1981 are brands of Fred Williamson LLC.

By visiting the Site, creating an account, or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to place an order. If you are younger, you may use the Site only with the involvement and permission of a parent or legal guardian, who is responsible for any order placed.

3. Accounts

You do not need an account to browse the Site, and guest checkout may be available. If you create an account:

  • Give accurate, current, and complete information, and keep it up to date
  • Keep your username and password confidential
  • You are responsible for all activity under your account
  • Tell us right away at fred@fredwllc.com if you think your account has been used without permission

We may suspend or close accounts as described in Section 17.

4. Products and Descriptions

Most FW Apparel products are printed to order. We work to describe and display products accurately, but:

  • Colors may look different depending on your screen and device settings
  • Because each item is made individually, small variations in print placement, color, and size are normal and are not defects
  • Measurements in our size guides are approximate; please review the size guide for each product before ordering

We do not guarantee that product descriptions, images, or other Site content are complete, current, or error-free.

5. Pricing and Availability

All prices are in U.S. dollars and do not include applicable sales tax, which is calculated at checkout. Prices, products, and promotions may change at any time without notice.

If a product is listed at an incorrect price or with incorrect information because of a typing, pricing, or technical error, we may cancel any orders placed for that product, even after an order confirmation has been sent. If your payment has already been charged, we will refund the full amount.

6. Orders

Your order is an offer to buy. An order confirmation email means we received your order; it does not mean we have accepted it. We accept your order when it ships. We may refuse or cancel any order, or limit quantities, for reasons including suspected fraud, payment issues, pricing errors, product availability, or resale activity. If we cancel a paid order, we will refund you in full.

Changes and cancellations. Because products go into production quickly, we cannot guarantee that an order can be changed or canceled. Contact us as soon as possible at fred@fredwllc.com. If production has not started, we will try to help. Once an order is in production, it cannot be canceled.

7. Payment

We accept major credit cards, debit cards, and other payment methods shown at checkout. Payments are processed by secure third-party payment processors, and your payment information is subject to their terms and privacy policies. By placing an order, you confirm that you are authorized to use the payment method and that your billing information is accurate. You agree to pay all charges, including product prices, shipping, and taxes.

8. Shipping and Delivery

Orders are processed after payment is confirmed and the item is produced. Shipping options and costs are shown at checkout.

  • Standard shipping: free, approximately 3–5 business days after fulfillment
  • Express shipping: $15, approximately 1–2 business days after fulfillment

Delivery times are estimates, not guarantees. Delays can be caused by production schedules, product availability, carriers, weather, holidays, or other events outside our reasonable control. We currently ship within the United States [and to the countries listed at checkout].

You are responsible for giving us a complete and accurate shipping address. We are not responsible for orders delivered to an incorrect address you provided. Reshipping an order returned because of an incorrect address may require an additional shipping charge.

Title and risk of loss pass to you when the order is delivered to the shipping carrier. If a package is marked delivered but you cannot find it, contact the carrier and us within [7] days, and we will help you file a claim.

9. Replacement Policy

FW Apparel works on a replacement policy, not a change-of-mind refund policy. We do not accept returns or give refunds because you changed your mind or ordered the wrong size, except as described below or where required by law.

We will replace an item at no cost to you if it arrives:

  • Damaged or defective, including print defects
  • Incorrect (wrong item, color, or design)
  • With a qualifying size issue, meaning the item you received does not match the size you ordered, or does not reasonably match our published size guide

To request a replacement, email fred@fredwllc.com within [30] days of delivery with your order number, a short description of the problem, and clear photos of the item and any label. We may ask you to return the item. If a replacement is not available, we may offer a store credit or refund at our discretion.

Custom orders are made specifically for you and can only be replaced if they arrive damaged, defective, or do not match the design you approved.

Any refund required by law will be handled as the law requires. Nothing in this section limits rights you have under consumer protection laws that cannot be waived.

10. Promotions and Discount Codes

Promotions and discount codes are subject to the terms stated with the offer. Unless stated otherwise, codes are limited to one per order, cannot be combined with other offers, have no cash value, cannot be applied to past orders, and may expire. We may end or change any promotion at any time and may cancel orders that misuse a promotion, for example by using multiple accounts.

11. Custom Orders

Developer note: keep this section only if custom design orders are offered.

If you request a custom design:

  • You confirm that you own or have permission to use any text, images, logos, or other material you send us, and that it does not infringe anyone else’s rights
  • We may refuse any design we believe is unlawful, offensive, hateful, or infringes intellectual property rights
  • Production begins after you approve the final design proof; please check spelling, colors, and placement carefully, because changes after approval may not be possible
  • Unless we agree otherwise in writing, Fred Williamson LLC keeps ownership of design work we create, and you receive a license to use the finished product for its intended personal purpose
  • You agree to indemnify Fred Williamson LLC against claims arising from material you provided

12. Intellectual Property

All content on the Site, including text, graphics, logos, photographs, videos, product designs, artwork, slogans, and branding, including the FW Apparel and FW Est. 1981 names and logos and the Stay Fresh, No Excuses, and Most High collection names and designs, is owned by or licensed to Fred Williamson LLC and is protected by copyright, trademark, and other laws.

You may view and print Site content for your personal, non-commercial use only. You may not copy, reproduce, modify, distribute, republish, sell, or use any content or designs commercially without our prior written permission. Buying a product does not give you any right to reproduce its design.

13. Reviews, Comments, and Submissions

If you post reviews, photos, comments, or other content on the Site or tag us on social media, you confirm that the content is yours, is truthful, and does not violate anyone’s rights or any law. You give Fred Williamson LLC a non-exclusive, royalty-free, worldwide license to use, display, and share that content in connection with our business, including on the Site and social media. We may remove any content at our discretion.

Ideas, suggestions, or feedback you send us may be used without any obligation to you.

14. Prohibited Conduct

When using the Site, you agree not to:

  • Break any law or regulation
  • Hack, attempt unauthorized access to, or interfere with the Site, its security, or its servers
  • Upload or send viruses, malware, or other harmful code
  • Use bots, scrapers, or other automated tools to collect content or data without permission
  • Send spam or unsolicited messages
  • Commit fraud, impersonate anyone, or give false information
  • Misuse payment systems, promotions, or discount codes
  • Buy products for unauthorized resale
  • Infringe the intellectual property or privacy rights of others
  • Do anything that could harm Fred Williamson LLC, our customers, or the Site

15. Third-Party Links and Services

The Site may include links to, or rely on, third-party websites and services, such as payment processors, shipping carriers, and social media platforms. We do not control them and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

16. Disclaimers and Limitation of Liability

Disclaimer. To the fullest extent permitted by law, the Site and all content are provided “as is” and “as available.” We do not promise that the Site will always be available, uninterrupted, secure, or error-free. Except as expressly stated in these Terms, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability. To the fullest extent permitted by law, Fred Williamson LLC and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of or inability to use the Site, delivery delays, third-party services, or events outside our reasonable control.

To the fullest extent permitted by law, our total liability for any claim related to a purchase or these Terms will not exceed the amount you paid for the product involved.

Some states do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you. Nothing in these Terms limits any rights you have that cannot be waived under applicable law.

Indemnification. You agree to defend, indemnify, and hold harmless Fred Williamson LLC from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms or your misuse of the Site.

17. Termination

You may stop using the Site at any time and may ask us to close your account by emailing fred@fredwllc.com.

We may suspend or end your access to the Site or your account, without notice, if you violate these Terms, commit fraud, fail to pay, act unlawfully, threaten the Site’s security, abuse our staff or services, or otherwise risk harm to us, our customers, or the Site.

Termination does not affect obligations that arose before it, including payments owed. Sections 12, 13, 16, 18, 19, and 21 survive termination.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules.

19. Dispute Resolution

If you have a problem, please contact us first. Most issues can be solved quickly by email.

  1. Informal resolution. Before filing any claim, you and Fred Williamson LLC agree to try to resolve the dispute informally by sending a written description of the issue to the other party. For us, send it to fred@fredwllc.com or our mailing address below. Both parties will negotiate in good faith for at least 30 days.
  2. Mediation. If the dispute is not resolved, either party may propose non-binding mediation in Sacramento County, California, with costs shared equally unless agreed otherwise.
  3. Court. If the dispute is still not resolved, it will be decided in the state or federal courts located in Sacramento County, California, and both parties consent to the jurisdiction of those courts. Either party may bring an eligible claim in small claims court.

Nothing in this section stops either party from seeking emergency relief to protect intellectual property rights.

20. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a new “Last updated” date. For significant changes, we may also notify you by email, a Site notice, or another reasonable method. Changes do not apply to orders placed before the update. If you keep using the Site after updated Terms take effect, you accept them, to the extent permitted by law.

21. General Terms

  • Entire agreement: These Terms, our Privacy Policy, and any policies posted on the Site are the entire agreement between you and us about the Site.
  • Severability: If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver: If we do not enforce a part of these Terms, we have not waived our right to do so later.
  • Assignment: You may not transfer your rights under these Terms. We may transfer ours, for example in a sale of the business.
  • Force majeure: We are not responsible for delays or failures caused by events outside our reasonable control.

22. California Consumer Notice

Under California Civil Code Section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
